List of Documents you need to provide Safepay

As a responsible business, we take our KYC obligations and compliance seriously. We collect certain documents from you to satisfy the requirements of State Bank of Pakistan and other financial partners and also protect customers that use Safepay to make their payments. 

This article describes the documents we will expect from you. You should prepare these or speak to your legal advisor or accountant to help you arrange these as these may take a few days. You will need to submit these documents as part of completing your onboarding with Safepay through your Production Account. 

Without these documents we will not be able to allow you to accept live payments using Safepay in production mode. All documents can be provided digitally. To learn how to complete your onboarding with Safepay please read our guide on how to complete our merchant onboarding form.

Please note 

We need to make sure that all merchants we approve to accept payments using Safepay are legitimate and trustworthy. When a customer chooses to pay using Safepay, they should be sure that the merchant they are paying has been properly investigated by Safepay. This makes Safepay the safest payment option for customers in Pakistan to see and use. 

Certain businesses require us to conduct a physical verification of their operations by our appointed third party, Dunn & Bradstreet. This is usually for businesses that are less than one year old and there is a small cost associated with this. Our Merchant Onboarding Team will be there to guide you through the process, but this usually occurs following our KYC call with you. Please note that this does not apply to all businesses but is conducted if for some reason our compliance team needs confirmation of your business activities. This is also a requirement placed on us by our financial partners and the State Bank of Pakistan.

Sole Proprietorships

S.No. Document Details
Authority Letter You need to provide a scan of the original authority letter for use of Safepay services. It has to be printed on the business letter head and should be signed and stamped by the proprietor. You should use the template made by us for your convenience. For further help please refer to this guide.
CNICs You need to provide a scan of the original and valid CNIC (front and back) of the sole proprietor and the authorized signatory (if different from proprietor) .
Bank Account Maintenance Certificate You need to provide a scan of the original certificate issued by the Bank duly signed and stamped for the business bank account of the proprietorship itself. Please refer to this guide for further assistance.
Taxpayer Registration Certificate Your proprietorship must be registered with FBR under your NTN. You need to provide a scan of the valid and original certificate issued by FBR for the proprietor. Alternatively you can also provide us your NTN number.
Proof of business address You need to provide a scan of any document which show that the business is associated with the premises registered with FBR. These documents include utility bills (electricity/gas/internet/ PTCL), bank statements (duly signed and stamped) or rent/lease agreements. (Any of these documents needs to show validity within the last three (3) months).

Private Limited Companies (including single member companies)

S.No Document Details
Certificate of Incorporation You need to provide a scan of the original certificate or certified true copy issued by SECP. This document shows your valid registration with the Securities and Exchange Commission of Pakistan (SECP). Please consult your legal advisor or visit SECP website.
Memorandum of Association (MOA) and Article of Association (AOA) You need to provide scans of original certified copies of the latest MOA and AOA issued by SECP. These documents are the constitution of the Company which will show the company's principle line of business and its corporate structure.
Form II You need to provide a scan of the SECP certified true copy of the Form II, which is the incorporation application filed with SECP at time of company incorporation. This submission is mandatory only for a company who’s incorporation age is less than a year from the date of submission. Please consult your legal advisor.
Form 29

You need to provide a SECP certified true copy of Form 29 showing particulars of directors and officers, including the chief executive, secretary, chief financial officer, auditors and legal advisor or of any change therein. This is mandatory if there is any change in the directors/officers between MOA, AOA, Inc. Form II and latest Form A. Alternatively, you may provide the digital certified copy of the Company Officers issued by SECP via e-services website.

Form 21 You need to provide a SECP certified true copy of Form 21 i.e. the notice of situation of registered office or any change therein. This is only required if there is a change in the address between Form II, FBR database, SECP database and the latest Form A.
Form A/B You need to provide an SECP certified true copy of the latest Form A i.e. the annual return of a company having share capital or Form B: (for SMC) which is the annual return of a company not having share capital. Note: Companies having paid up capital of less than 3 million are exempted from filing Form A/B in case of no change in last annual return filed.
Taxpayer Registration Certificate You need to provide a scan of the valid and original certificate issued by FBR for the company. Alternatively you can also provide us the company's NTN number.
CNICs You need to provide scans of the original and valid CNICs (front and back) of all directors and authorized signatory (if other than a director).
Board Resolution You need to provide a scan of the original board resolution printed on a company letterhead, signed by the chairman (if applicable) or by all directors (or the quorum) and duly stamped affixed with the company stamp for use of Safepay services. Bank Account Maintenance Certificate You need to provide a scan of the original certificate issued by the Bank duly signed and stamped for the bank account of the company. Please refer to this guide.
Proof of business address You need to provide a scan of any document which show that the business is associated with the premises registered with SECP. Public Limited Companies

S.No. Document Details
Certificate of Incorporation You need to provide a scan of the original certificate or certified true copy issued by SECP. This document shows your valid registration with the Securities and Exchange Commission of Pakistan (SECP). Please consult your legal advisor or visit SECP website.
Certificate of commencement of business You need to provide a certified copy of the certificate issued by SECP under Section 146 of the Companies Act 2017. Please consult your legal advisor.
Memorandum of Association (MOA) and Article of Association (AOA) You need to provide scans of original certified copies of the latest MOA and AOA issued by SECP. These documents are the constitution of the Company which will show the company's principle line of business and corporate structure.
Form II You need to provide a scan of the SECP certified true copy of the Form II, which is the incorporation application filed with SECP at time of company incorporation. This submission is mandatory only for a company who’s incorporation age is less than a year from the date of submission. Please consult your legal advisor.
Form 29

You need to provide a SECP certified true copy of Form 29 showing particulars of directors and officers, including the chief executive, company secretary, chief financial officer, auditors and legal adviser or of any change therein. This is mandatory if there is any change in the directors/officers between MOA, AOA, Inc. Form II and latest Form A. Alternatively, you may provide the digital certified copy of the Company Officers issued by SECP via e-services website.

Partnerships

Bank Account Maintenance Certificate You need to provide a scan of the original certificate issued by the Bank duly signed and stamped for the business bank account of the partnership itself. Please refer to this guide for further assistance.
Taxpayer Registration Certificate Your partnership must be registered with FBR under the AOP category. You need to provide a scan of the valid and original certificate issued by FBR for the partnership. Alternatively you can also provide us the NTN number of the partnership.
Partnership Deed You need to provide a scan of the original partnership deed duly notarized by notary public and stamped by the Registrar of Firms (only in case of a registered partnership).
Form C (Registration of Firm) You need to provide a scan of the original Form C issued by the Registrar of Firms. This document is only applicable for registered partnerships.
Proof of business address You need to provide a scan of any document which show that the business is associated with the premises registered with FBR. These documents include utility bills (electricity/gas/internet/ PTCL), bank statements (duly signed and stamped) or rent/lease agreements. (Any of these documents needs to show validity within the last three (3) months).

Limited Liability Partnerships

CNICs You need to provide a scan of the original and valid CNICs (front and back) of all partners and authorized signatory (if different from partner).
Bank Account Maintenance Certificate You need to provide a scan of the original certificate issued by the Bank duly signed and stamped for the business bank account of the partnership itself. Please refer to this guide for further assistance.
Taxpayer Registration Certificate Your partnership must be registered with FBR. You need to provide a scan of the valid and original certificate issued by FBR for the partnership. Alternatively you can also provide us the NTN number of the partnership.
LLP Partnership Deed/Agreement You need to provide a certified copy of the LLP Partnership Deed/Agreement issued by SECP. Please consult your legal advisor.
LLP Form III You need to provide a certified copy of the Form II i.e. the application for incorporation filed with SECP showing details of all partners.
LLP Form V You need to provide a certified copy of the latest Form V showing any change in the partners as designated under Form III.
Certificate of Incorporation You need to provide a scan of the original certificate or certified true copy issued by SECP. This document shows your valid registration with the Securities and Exchange Commission of Pakistan (SECP). Please consult your legal advisor or visit SECP website.

NGOs/NPOs/Charities

Resolution A scan of the original resolution printed on the business letterhead and signed and stamped by all members of the Governing Body/Board of Directors/Trustees/ Executive Committee. Please use the following template provided by Safepay.
CNICs You need to provide scans of original and valid CNICs (back and front) of all members of the Governing Body/Board of Directors/Trustees/ Executive Committee, as applicable and the authorized signatory (if different from member).
Bank Account Maintenance Certificate You need to provide a scan of the original certificate issued by the Bank duly signed and stamped for the business bank account of the NGO itself. Please refer to this guide for further assistance.
Certificate of Incorporation/ Registration or Instrument of Trust You need to provide a scan of the certified true copy of the Certificate of Incorporation/Registration issued by SECP or the attested copy of the Instrument of Trust (Trust Deed), as applicable.
Approval/License of SECP (Section 42) You need to provide a scan of the approval/license issued by SECP to form an NGO under Section 42 of the Companies Act 2017.
Incorporation Form II You need to provide a scan of the SECP certified true copy of the incorporation application Form II filed by the NGO with SECP. This submission is mandatory for an entity who’s incorporation age is less than a year from the date of submission.
Form A You need to provide a scan of the latest SECP certified true copy of the Form A filed with SECP.
Memorandum of Association and Articles of Association You need to provide a scan of the latest original certified copies of MOA and AOA filed with SECP.
Certification or Registration with other entities You need to provide a scan of the original certificate or registration with any certification organizations such as Pakistan Centre of Philanthropy, if available.
Annual Audited Accounts You need to provide a scan of the latest annual audited accounts of the Company.
Other Documents for assessment of risk profile Any other documents as deemed necessary including annual accounts/financial statements or disclosure in any form which may help to ascertain the detail of its activities, sources and usage of funds. These will be requested by Safepay team after review of all above documents, if deemed necessary.

Trusts, Societies and Associations

S.No. Document Details
Governing Body Resolution You need to provide a scan of the original resolution printed on the business letterhead and signed and stamped by all members of the Governing Body/Board of Directors/Trustees/ Executive Committee. Please use the following template provided by Safepay.
CNICs

You need to provide Scans of original and valid CNICs (back and front) of:

• all members of the Governing Body/Board of Directors/

Trustees/ Executive Committee, as applicable;

• authorized signatories;

• settlor, the trustee(s), the protector (if any) and the beneficiaries;

Bank Account Maintenance Certificate You need to provide a scan of the original certificate issued by the Bank duly signed and stamped for the business bank account of your organization. Please refer to this guide for further assistance.
Certificate of Registration/ Instrument of Trust You need to provide a scan of the certified copy of the certificate of registration or instrument of trust.
By-Laws, Rules and Regulation You need to provide a scan of the certified copy of the By-Laws, Rules and Regulations including the Memorandum of Association and Articles of Association, if applicable.
Certification or Registration with other entities You need to provide a scan of the original certificate or registration with any certification organizations such as Pakistan Centre of Philanthropy, if available.
Annual Audited Accounts You need to provide a scan of the latest annual audited accounts of the Company.

Freelancers

Proof of Business/

Work

You need to provide a scans of any certificates/licenses (if your services are regulated by any entity) and invoices issued by you to your clients.

Proof of source of

funds/income

You need to provide a scan of Bank Statement in which entries can be cross referenced with the invoices you have shared with us and also your latest tax returns filed with FBR.

Proof of business

address

You need to provide a scan of any document which show that the your address registered with FBR is valid and is in your use. These documents include utility bills (electricity/gas/internet/ PTCL), bank statements (duly signed and stamped) or rent/lease agreements. (Any of these documents needs to show validity within the last three (3) months).
Taxpayer Registration Certificate You must be registered with FBR. You need to provide a scan of the valid and original certificate issued by FBR. Alternatively you can also provide us your NTN number.
